Terms and Conditions

Effective Date: June 23, 2026

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THESE TERMS AND CONDITIONS CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND HEALTH INSIGHTS, LLC DBA TRIVOCA HEALTH REGARDING YOUR PARTICIPATION IN HEALTHCARE VOICES, ACCESS TO OUR WEBSITES, COMMUNITIES, RESEARCH ACTIVITIES, AND RELATED SERVICES.

BY REGISTERING FOR, ACCESSING, OR PARTICIPATING IN HEALTHCARE VOICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND OUR PRIVACY POLICY.

1. Definitions

For purposes of these Terms and Conditions:

“Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with Health Insights, LLC dba TriVoca Health, including Med Learning Group and its affiliated entities.

“Healthcare Voices” means the Healthcare Voices panel, community, website, applications, communications, databases, research programs, educational engagement opportunities, and related services operated by TriVoca Health.

“Participant” means any individual who registers for, accesses, or participates in Healthcare Voices.

“Research Activity” means any survey, interview, focus group, online community, advisory board, diary study, bulletin board, ethnographic study, usability study, market research study, educational needs assessment, learning activity, or other engagement opportunity offered through Healthcare Voices.

“Incentive” means any reward, honorarium, points, gift card, cash-equivalent reward, merchandise, charitable donation, sweepstakes entry, or other compensation offered in connection with participation.

“Professional Information” means information relating to a Participant’s professional qualifications, licensure, specialty, credentials, practice affiliation, employer information, NPI information, prescribing authority, professional experience, or related information.

2. Acceptance of terms

These Terms and Conditions govern your use of Healthcare Voices and participation in all Healthcare Voices activities.

By registering for Healthcare Voices, accessing the Healthcare Voices website, accepting an invitation to participate, completing a screening questionnaire, participating in a Research Activity, redeeming Incentives, or otherwise engaging with Healthcare Voices, you agree to be bound by these Terms and Conditions and our Privacy Policy.

If you do not agree to these Terms and Conditions, you may not access or use Healthcare Voices.

TriVoca Health reserves the right to modify these Terms and Conditions at any time. Updated versions may be posted on the applicable website or otherwise communicated to Participants and will become effective upon posting or such other communication unless otherwise specified. Continued participation following publication of revised Terms constitutes acceptance of such revisions.

3. Eligibility

To register for Healthcare Voices, you must:

(a) Be at least eighteen (18) years of age;

(b) Be a United States citizen, lawful permanent resident, or otherwise legally authorized to participate in research activities within the United States;

(c) Possess any credentials, licenses, certifications, or professional qualifications required for participation in a particular Research Activity;

(d) Provide truthful, complete, accurate, and current registration information;

(e) Agree to these Terms and Conditions and the Privacy Policy;

(f) Cooperate with identity verification, credential verification, quality assurance, and fraud prevention procedures.

Healthcare Voices may establish additional eligibility requirements for specific Research Activities.

Healthcare Voices reserves the right to determine eligibility in its sole discretion and may reject, suspend, restrict, or terminate participation if eligibility requirements are not satisfied.

4. Account registration, security, and maintenance

Participants are required to create and maintain a single Healthcare Voices account.

Multiple Accounts

Participants may maintain only one account. Creation of multiple accounts, whether under different names, email addresses, aliases, business entities, or other identifying information, is strictly prohibited.

Account Information

Participants are responsible for ensuring that all registration information remains accurate, complete, and current, including:

Name
• Address
• Email address
• Telephone number
• Professional credentials
• Licensure information
• NPI information
• Specialty information
• Employer information
• Practice affiliation information
• Tax reporting information where applicable

Participants are responsible for promptly notifying Healthcare Voices if any professional credential, license, certification, registration, specialty designation, prescribing authority, employer affiliation, or practice affiliation changes, expires, becomes restricted, is suspended, surrendered, revoked, or otherwise changes status.

Account Security

Participants are responsible for maintaining the confidentiality of login credentials and for all activity occurring through their accounts.

Participants must immediately notify Healthcare Voices of any suspected unauthorized access or security breach.

Verification Requirements

Healthcare Voices reserves the right to require identity verification, government-issued identification, credential verification, employment verification, licensure verification, NPI verification, specialty verification, practice verification, or other documentation at any time.

Failure to successfully complete verification procedures may result in disqualification, account suspension, account termination, or loss of Incentive eligibility.

5. Panel membership requirements and code of conduct

Healthcare Voices is committed to maintaining the integrity, quality, reliability, and credibility of research conducted through the panel.

Participants shall conduct themselves honestly, professionally, respectfully, and in good faith at all times while interacting with Healthcare Voices.

Truthful Participation

Participants must provide truthful, accurate, complete, and current information throughout all registration, screening, and participation activities.

Participants may not intentionally provide misleading information in order to qualify for studies.

Invitation Restrictions

Research invitations are personal and non-transferable.

Participants may not share, sell, transfer, forward, distribute, post, publish, or otherwise make available any invitation, survey link, interview link, screener, access code, or participation opportunity.

Any participation completed using an invitation not originally assigned to the Participant may be deemed invalid.

Confidentiality Obligations

Participants must maintain the confidentiality of:

Study materials
• Sponsor information
• Product concepts
• Educational content
• Research discussions
• Recordings
• Survey instruments
• Unreleased products or services
• Proprietary information

Participants may not take screenshots, create recordings, photograph materials, copy content, or disclose Confidential Information unless expressly authorized.

Professional Conduct

Participants must behave respectfully and professionally during all interactions with moderators, researchers, clients, Healthcare Voices personnel, and other Participants.

Harassment, discrimination, threats, abusive conduct, disruptive behavior, or unlawful conduct are prohibited.

Artificial Intelligence and Automated Tools

Unless expressly authorized in writing for a particular study, Participants may not use:

Generative AI tools
• Large language models
• Chatbots
• Automated response generators
• Scripts
• Bots
• Browser automation tools
• Robotic process automation tools
• Similar technologies

to create, generate, draft, edit, enhance, complete, or submit research responses.

Responses must reflect the Participant’s own experiences, opinions, knowledge, and judgment.

Failure to comply with this requirement may result in immediate disqualification, forfeiture of Incentives, suspension, or termination.

Prohibited Conduct

Participants shall not:

Create multiple accounts.
• Impersonate another individual.
• Misrepresent professional credentials.
• Misrepresent specialty, licensure, or employer information.
• Participate in the same study more than once.
• Allow another person to participate using their account.
• Complete activities on behalf of another person.
• Attempt to manipulate qualification criteria.
• Attempt to manipulate incentive programs.
• Circumvent fraud-prevention systems.
• Use VPNs, proxies, device masking, geolocation spoofing, virtual machines, or emulators to conceal identity or location.
• Engage in any conduct that compromises research quality, Participant safety, sponsor interests, or Healthcare Voices operations.

Healthcare Voices reserves the right to investigate any suspected violation and take corrective action as permitted under these Terms and Conditions.

6. Research integrity, verification, and fraud prevention

Healthcare Voices is committed to maintaining the integrity, validity, reliability, and quality of all Research Activities conducted through the panel.

As a condition of participation, Participants agree to cooperate with quality-control, verification, and fraud-prevention procedures implemented by Healthcare Voices.

Identity and Credential Verification

Healthcare Voices may verify Participant identity and eligibility before, during, or after participation in a Research Activity.

Verification procedures may include, without limitation:

Government-issued identification verification
• NPI verification
• Professional license verification
• Specialty verification
• Employer verification
• Practice affiliation verification
• Verification of publicly available professional records
• Email verification
• Telephone verification
• Address verification
• Tax documentation verification
• Additional verification procedures deemed reasonably necessary by Healthcare Voices

Healthcare Voices reserves the right to request updated verification documentation at any time, including re-verification of previously verified Participants.

Healthcare Voices may use third-party identity verification, credential verification, fraud prevention, device intelligence, and quality-control vendors to support participant validation and research integrity activities.

Audit Rights

Healthcare Voices reserves the right to review participation records, account activity, verification records, incentive history, communications, device information, and other information reasonably necessary to assess compliance with these Terms and Conditions, verify eligibility, investigate fraud, protect research integrity, and administer Incentives.

Quality Control Procedures

Healthcare Voices may utilize quality-control measures designed to ensure accurate and reliable research data, including:

Attention-check questions
• Consistency checks
• Logic checks
• Open-end response review
• Interview monitoring
• Recording review
• Participation history review
• Completion-time analysis
• Duplicate-response detection
• Manual quality review
• Statistical quality analysis

Participants may be disqualified from a Research Activity if quality standards are not satisfied.

Fraud Detection Technologies

Healthcare Voices may use technical and operational tools to identify and prevent fraudulent, deceptive, duplicate, automated, or otherwise invalid participation.

These measures may include:

Device fingerprinting
• Browser fingerprinting
• Device identification
• IP address analysis
• Geolocation analysis
• Participation pattern analysis
• Duplicate-account detection
• Duplicate-participation detection
• Identity verification technologies
• Credential verification systems
• AI-generated response detection
• Automated fraud-screening tools
• Other commercially reasonable fraud-prevention technologies

Examples of Fraudulent or Invalid Participation

Examples of conduct that may be considered fraudulent, deceptive, abusive, or invalid include:

Creating multiple accounts
• Participating under a false identity
• Misrepresenting professional qualifications
• Misrepresenting licensure status
• Misrepresenting specialty information
• Misrepresenting employer information
• Misrepresenting practice affiliation
• Providing false screening responses
• Participating in the same study more than once
• Sharing study invitations
• Completing studies for another person
• Allowing another person to use your account
• Using AI-generated responses without authorization
• Using bots or automated participation tools
• Using VPNs, proxies, virtual machines, emulators, or location-spoofing technologies
• Manipulating qualification criteria
• Manipulating incentive programs
• Circumventing fraud-detection systems
• Any conduct reasonably determined to compromise research integrity

Consequences of Fraudulent Participation

If Healthcare Voices reasonably determines that participation was fraudulent, deceptive, duplicate, automated, unauthorized, or otherwise invalid, Healthcare Voices may:

Disqualify the Participant from a study
• Withhold Incentives
• Remove previously awarded but unredeemed points
• Suspend participation privileges
• Terminate account access
• Permanently prohibit future participation
• Report suspected fraud where required by law

Healthcare Voices reserves reasonable discretion, exercised in good faith, when making determinations regarding Participant eligibility, research quality, fraud prevention, and Incentive eligibility.

7. Incentives, rewards, redemption rules, and tax reporting

Healthcare Voices may offer Incentives in connection with participation in Research Activities.

No Guarantee of Incentives

Participation in a Research Activity does not guarantee eligibility for an Incentive.

Incentives are not earned merely by beginning or partially completing a Research Activity.

Incentives are earned only after:

Successful completion of study requirements
• Verification of Participant eligibility
• Completion of quality-control review
• Completion of fraud-prevention review
• Compliance with these Terms and Conditions

Healthcare Voices reserves the right to determine whether an Incentive has been validly earned.

Reward Points Program

Healthcare Voices may utilize a reward points program to administer Incentives.

Reward points have no cash value until redeemed in accordance with program rules.

Reward points expire and are forfeited following twelve (12) months of account inactivity. An account is considered inactive if, during the applicable period, the Participant does not participate in a Research Activity or earn points. Healthcare Voices may, but is not obligated to, notify Participants before points expire. Expired points have no value, cannot be reinstated, and are not eligible for redemption. Healthcare Voices reserves the right to modify the points expiration policy, subject to applicable law.

Minimum Redemption Requirement

The minimum redemption amount is 2,500 points, equivalent to twenty-five U.S. dollars ($25).

Redemptions below 2,500 points are not permitted. Healthcare Voices reserves the right to modify the minimum redemption amount, subject to applicable law.

Maximum Redemption Limit

Participants may redeem a maximum of 500,000 points, equivalent to five thousand U.S. dollars ($5,000), during any rolling seven-day period.

Healthcare Voices reserves the right to modify redemption limits, subject to applicable law.

Pending Review Status

Healthcare Voices may place Incentives, rewards, redemptions, or points into a pending review status while conducting:

Eligibility reviews
• Quality reviews
• Fraud investigations
• Verification reviews
• Compliance reviews

Incentives may be delayed until such reviews are completed.

Forfeiture of Incentives

Healthcare Voices reserves the right to deny, reduce, cancel, withhold, or remove Incentives or unredeemed points if participation is determined to be:

Fraudulent
• Duplicate
• Automated
• Ineligible
• Misleading
• Incomplete
• Non-compliant with study requirements
• Otherwise inconsistent with these Terms and Conditions

Participants are not entitled to compensation for forfeited points or Incentives.

Incentive Recovery

If Healthcare Voices reasonably determines that an Incentive was issued as a result of fraudulent, deceptive, unauthorized, duplicate, ineligible, or otherwise invalid participation, Healthcare Voices reserves the right, to the extent permitted by applicable law, to reverse, cancel, offset, or recover such Incentive and to adjust the Participant’s account accordingly.

Tax Reporting

Participants are solely responsible for reporting and paying any taxes associated with Incentives received.

Healthcare Voices may require submission of tax documentation, including IRS Form W-9 or successor forms, as a condition of redemption or payment.

Healthcare Voices may issue IRS Forms 1099 or other required tax documentation and may withhold payment where required by law.

Healthcare Voices aggregates the total value of all Incentives paid to a Participant during a calendar year, across all Research Activities, for purposes of determining tax reporting obligations. Where the cumulative value of Incentives paid to a Participant during a calendar year equals or exceeds the applicable IRS reporting threshold (currently $2,000, or such other amount as the Internal Revenue Service may establish), Healthcare Voices may issue an IRS Form 1099 reflecting the aggregate amount. Participants remain responsible for reporting all Incentive income, regardless of whether a Form 1099 is issued or whether the reporting threshold is met.

8. Communications and educational opportunities

By registering with Healthcare Voices, Participants consent to receive communications related to Healthcare Voices activities.

Permitted Communications

Healthcare Voices, TriVoca Health, Med Learning Group, and affiliated entities may communicate with Participants regarding:

Research studies
• Surveys
• Interviews
• Advisory boards
• Online communities
• Educational programs
• Learning activities
• Continuing education opportunities
• Professional development opportunities
• Webinars
• Conferences
• Healthcare-related educational opportunities
• Panel administration matters
• Incentive administration matters
• Compliance communications

Voluntary Participation

Receipt of a communication does not obligate a Participant to participate in any activity.

Receipt of communications does not guarantee eligibility for any Research Activity or educational opportunity.

Participation in all Research Activities and educational opportunities remains voluntary unless otherwise required by law or contract.

Opt-Out Rights

Participants may opt out of non-required communications by using available unsubscribe mechanisms or by contacting Healthcare Voices.

Healthcare Voices may continue to send administrative, legal, security, compliance, account-related, or incentive-related communications even if a Participant opts out of promotional communications.

9. Privacy and data processing

Healthcare Voices processes personal information in accordance with its Privacy Policy.

Participants acknowledge and agree that Healthcare Voices may collect, use, disclose, store, transfer, and process personal information as described in the Privacy Policy. Such personal information may include sensitive information, including health-related information, professional credential information, and consumer health data, which Healthcare Voices collects and processes only as permitted by law and as further described in the Privacy Policy.

The Privacy Policy is incorporated into these Terms and Conditions by reference. Depending on applicable law, Participants may have rights to access, correct, delete, or restrict the processing of their personal information, to object to processing, to withdraw consent, and to exercise other privacy rights, including any state-specific privacy rights (such as those applicable to Washington consumer health data and to California residents). These rights, and the procedures for exercising them, are described in the Privacy Policy.

Where there is a conflict between these Terms and Conditions and the Privacy Policy regarding participation requirements, these Terms and Conditions shall govern. Where there is a conflict regarding privacy practices, the Privacy Policy shall govern.

Participants consent to the collection and processing of information necessary to:

Administer panel membership
• Conduct research
• Verify eligibility
• Prevent fraud
• Administer Incentives
• Conduct educational engagement activities
• Satisfy legal obligations
• Protect Healthcare Voices operations

10. Confidentiality and intellectual property

Participants acknowledge that Research Activities may involve access to Confidential Information belonging to Healthcare Voices, sponsors, clients, or affiliated organizations.

Confidential Information

Confidential Information includes, without limitation:

Research materials
• Product concepts
• Product prototypes
• Educational content
• Sponsor identities
• Study methodologies
• Survey instruments
• Reports
• Unreleased products
• Unreleased services
• Business strategies
• Commercially sensitive information

Participant Obligations

Participants agree not to:

Disclose Confidential Information
• Copy Confidential Information
• Record Confidential Information
• Photograph Confidential Information
• Publish Confidential Information
• Distribute Confidential Information
• Use Confidential Information for personal benefit

without prior written authorization.

Sponsor Protection and Non-Contact

Participants acknowledge that sponsor identities may be withheld before, during, or after a Research Activity in order to protect research integrity and confidentiality.

Participants shall not attempt to identify, contact, solicit, communicate with, or otherwise engage directly with any sponsor, client, observer, product manufacturer, healthcare company, or representative associated with a Research Activity unless expressly authorized by Healthcare Voices.

Intellectual Property Ownership

All intellectual property rights associated with Research Activities, materials, recordings, reports, analyses, concepts, and outputs remain the exclusive property of Healthcare Voices, its affiliates, sponsors, or clients.

Participation does not grant any ownership interest or license rights except as expressly provided.

Unauthorized use of intellectual property may result in immediate termination of participation and additional legal remedies.

11. Account suspension, restriction, and termination

Healthcare Voices reserves the right to suspend, restrict, deactivate, or terminate Participant accounts at any time where Healthcare Voices reasonably determines that such action is necessary to protect research integrity, Participant safety, client interests, legal compliance, or Healthcare Voices operations.

Grounds for Suspension or Termination

Healthcare Voices may suspend or terminate participation for reasons including, but not limited to:

Violation of these Terms and Conditions
• Violation of the Privacy Policy
• Fraudulent participation
• Duplicate participation
• Multiple account creation
• Identity verification failures
• Credential verification failures
• Misrepresentation of professional information
• Use of unauthorized AI-generated responses
• Use of automated participation tools
• Quality-control failures
• Failure to comply with study requirements
• Harassment or abusive conduct
• Unauthorized disclosure of Confidential Information
• Security concerns
• Legal or regulatory concerns

Effect of Suspension or Termination

Upon suspension or termination:

Access to Healthcare Voices may be restricted or revoked.
• Participation in active studies may be cancelled.
• Pending Incentives may be withheld.
• Unredeemed points may be removed.
• Future participation opportunities may be denied.

Healthcare Voices shall have no obligation to restore points, Incentives, or account access following a suspension or termination.

Voluntary Withdrawal

Participants may close their Healthcare Voices account at any time by contacting Healthcare Voices or by using any account-closure mechanism made available. Upon voluntary closure, the Participant’s access to Healthcare Voices will end, participation in any active Research Activities may be cancelled, and any unredeemed reward points and pending Incentives are forfeited. Healthcare Voices has no obligation to provide compensation for any points or Incentives forfeited as a result of voluntary closure.

12. Electronic communications and electronic consent

By registering with Healthcare Voices, Participants consent to receive electronic communications from Healthcare Voices, TriVoca Health, Med Learning Group, and affiliated entities.

Electronic communications may include:

Email communications
• Account notifications
• Incentive notifications
• Study invitations
• Verification requests
• Administrative notices
• Legal notices
• Security notices
• Educational opportunity notifications

Participants agree that electronic communications satisfy any legal requirement that communications be provided in writing.

Electronic Signature Consent

Participants acknowledge that:

Clicking acceptance buttons
• Checking consent boxes
• Completing registration forms
• Participating in studies
• Redeeming Incentives

may constitute legally binding electronic signatures under applicable law.

13. Dispute resolution, arbitration, and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, THE PARTIES WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION OR PROCEEDING ARISING OUT OF OR RELATING TO HEALTHCARE VOICES, THESE TERMS AND CONDITIONS, OR PARTICIPATION IN RESEARCH ACTIVITIES.

Agreement to Arbitrate

Except as expressly provided below, any dispute, claim, controversy, or cause of action arising out of or relating to Healthcare Voices, participation in Research Activities, Incentives, reward points, account termination, communications, these Terms and Conditions, or the Privacy Policy shall be resolved exclusively through binding arbitration.

Delegation of Arbitrability

The arbitrator, and not any court, shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, formation, scope, or validity of this arbitration provision, including any claim that all or part of this arbitration provision is void or voidable.

Arbitration Administrator

Arbitration shall be administered by the American Arbitration Association (“AAA”) under its applicable rules then in effect.

Individual Claims Only

Participants agree that disputes shall be brought solely in an individual capacity.

Participants waive any right to:

Participate in a class action
• Participate in a collective action
• Participate in a representative action
• Participate in a private attorney general action

No arbitrator shall have authority to consolidate claims or hear class claims.

Notwithstanding the foregoing, this waiver of class, collective, representative, and private attorney general actions does not apply to (i) any claim for public injunctive relief that cannot lawfully be waived, including under California law as set forth in McGill v. Citibank, N.A., or (ii) a representative action under the California Private Attorneys General Act (“PAGA”) to the extent it may not be waived under applicable law. If a court of competent jurisdiction determines that the waiver of public injunctive relief or of a PAGA representative action is unenforceable as to a particular claim, that claim shall be severed and may proceed in court, while all remaining claims shall continue to be resolved through arbitration on an individual basis and the remainder of this Section 13 shall remain in full force and effect.

Small Claims Court Exception

Either party may pursue an eligible claim in small claims court if the claim qualifies under applicable law.

Arbitration Location

Unless otherwise required by law, arbitration may be conducted remotely, by written submission, or at a mutually agreed location.

14. Disclaimer of warranties and limitation of liability

HEALTHCARE VOICES, INCLUDING ITS WEBSITES, APPLICATIONS, COMMUNITIES, RESEARCH ACTIVITIES, AND RELATED SERVICES, IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, HEALTHCARE VOICES, TRIVOCA HEALTH, MED LEARNING GROUP, AND THEIR AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SPONSORS, AND CLIENTS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Healthcare Voices does not warrant that its websites, applications, or services will be uninterrupted, timely, secure, accurate, or error-free, or that participation will result in eligibility for any Incentive. No advice or information, whether oral or written, obtained from Healthcare Voices or through participation creates any warranty not expressly stated in these Terms and Conditions. Because some jurisdictions do not allow the exclusion of certain warranties, some of the foregoing exclusions may not apply to the extent prohibited by applicable law.

To the fullest extent permitted by law, Healthcare Voices, TriVoca Health, Med Learning Group, affiliates, officers, directors, employees, contractors, and agents shall not be liable for:

Lost profits
• Lost opportunities
• Lost business
• Lost goodwill
• Loss of data
• Business interruption
• Consequential damages
• Special damages
• Incidental damages
• Indirect damages
• Punitive damages
• Exemplary damages

arising out of or relating to participation in Healthcare Voices.

Maximum Liability

To the fullest extent permitted by law, aggregate liability arising from participation shall not exceed the greater of:

(a) Ten U.S. dollars ($10); or

(b) The amount of unpaid Incentives directly associated with the specific Research Activity giving rise to the claim.

15. Indemnification

Participants agree to defend, indemnify, and hold harmless Healthcare Voices, TriVoca Health, Med Learning Group, affiliates, officers, directors, employees, contractors, agents, sponsors, and clients from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising from:

Violation of these Terms and Conditions
• Violation of applicable law

16. Force majeure

Healthcare Voices shall not be liable for delays, interruptions, failures, or inability to perform resulting from events beyond its reasonable control, including:

Natural disasters
• Floods
• Fires
• Severe weather
• Power outages
• Internet outages
• Cybersecurity incidents
• Ransomware attacks
• Labor disputes
• Government actions
• Public health emergencies
• Acts of war
• Terrorist acts
• Third-party service failures

Performance shall be excused for the duration of the force majeure event.

17. Governing law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles. The Federal Arbitration Act governs the interpretation, validity, and enforcement of the arbitration provisions set forth in Section 13, including any question of arbitrability. Delaware law governs the substantive interpretation of these Terms and Conditions and the merits of any dispute arising out of or relating to them, except to the extent preempted by the Federal Arbitration Act.

Except where arbitration applies, Participants consent to exclusive jurisdiction and venue in Delaware courts.

18. Changes to these terms

Healthcare Voices reserves the right to modify these Terms and Conditions at any time.

Updated Terms may be posted on the Healthcare Voices website or otherwise communicated to Participants.

Continued participation after revised Terms become effective constitutes acceptance of the revised Terms.

20. Entire agreement

These Terms and Conditions, together with the Privacy Policy and any study-specific agreements, constitute the entire agreement between Healthcare Voices and the Participant regarding participation in Healthcare Voices.

If any provision of these Terms and Conditions is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

No waiver of any provision shall constitute a waiver of any other provision or future enforcement rights.

The provisions of these Terms and Conditions that by their nature should survive termination or expiration of a Participant’s account or participation shall survive, including the provisions governing confidentiality, intellectual property, fraud prevention and the consequences of fraudulent participation, forfeiture of Incentives, disclaimer of warranties, limitation of liability, indemnification, dispute resolution and the class action waiver, governing law, and these general provisions.

These Terms and Conditions, and any rights and obligations hereunder, may be assigned or transferred by Healthcare Voices and TriVoca Health, in whole or in part, including in connection with a merger, acquisition, reorganization, financing, or sale of assets, without restriction and without notice to Participants. Participants may not assign or transfer any of their rights or obligations under these Terms and Conditions, whether by operation of law or otherwise, and any attempted assignment by a Participant is void. These Terms and Conditions bind and inure to the benefit of the parties and their permitted successors and assigns.

To the fullest extent permitted by law, any claim or cause of action arising out of or relating to Healthcare Voices, participation in Research Activities, Incentives, reward points, or these Terms and Conditions must be commenced within one (1) year after the claim or cause of action accrues; otherwise, it is permanently barred.
